01. Acceptance of Terms & Scope of Use

02. Quotations, Pricing & BOQ Estimation Disclaimers

All automated online estimators, catalog price indications, and preliminary BOQs generated via this website are indicative and intended exclusively for budgetary guidance:

• Formal Validity: Binding commercial pricing is issued solely through formal, stamped quotation documents signed by an authorized GPSPL representative.
• Validity Window: Standard quotations remain valid for 15 to 30 calendar days from issuance, subject to OEM hardware price adjustments and foreign exchange fluctuations for imported AV components.
• Taxes & Statutory Levies: All quotations specify applicable Goods and Services Tax (GST 18% / 28%) and delivery terms (Ex-Works / CIF / DDP) as governed by Indian taxation laws.

03. Site Readiness & Project Execution Conditions

Successful AV integration and hardware commissioning depend on client site readiness as mutually agreed in the Scope of Work (SOW):

Delays resulting from incomplete site readiness, civil obstructions, or non-availability of power/network infrastructure will extend handover timelines without imposing penalty liabilities on GPSPL.

04. Manufacturer Warranty & AMC Service Terms

GPSPL operates as an authorized distributor and certified system integrator:

• OEM Manufacturer Warranty: Hardware products (displays, video walls, interactive panels, DSPs, cameras, microphones, UPS systems) carry standard manufacturer warranties as stipulated by OEM brands (typically 1 to 3 years). GPSPL facilitates technical RMA escalation, diagnosis, and manufacturer coordination.
• GPSPL Workmanship Warranty: Cabling, crimping, physical mounting, rack dressing, and configuration implemented by GPSPL engineers carry a 90-day comprehensive workmanship warranty from sign-off.
• Annual Maintenance Contracts (AMC): Comprehensive and Non-Comprehensive AMC service level agreements (SLAs) are governed by dedicated service contracts specifying preventative visit frequencies, response times (4 to 24 hours), and standby unit provisioning.

05. Intellectual Property & OEM Brand Trademarks

All brand names, product logos, model numbers, and registered trademarks featured on this website (including but not limited to LG, Samsung, Sony, Crestron, AMX, Extron, Poly, Logitech, Aten, Sennheiser, Epson, BenQ, Wacom, Cisco, Kramer) remain the exclusive property of their respective owners.

06. Limitation of Liability & Force Majeure

Except in cases of proven gross negligence or willful misconduct, GPSPL's cumulative liability for any claim arising from hardware supply or integration shall not exceed the total contract value paid by the client under the specific purchase order.

GPSPL shall not be held liable for project delays or failures caused by events beyond reasonable control, including natural disasters, port clearance delays, global component supply chain shortages, government restrictions, or third-party cloud service outages (e.g., Teams/Zoom platform disruptions).

07. Governing Law & Dispute Resolution

These terms and all commercial contracts executed with GPSPL shall be governed by and construed in accordance with the Laws of the Republic of India.

Any dispute, controversy, or claim arising out of or in connection with website usage or project contracts shall be referred to arbitration under the provisions of the Arbitration and Conciliation Act, 1996, with the venue of arbitration and exclusive judicial jurisdiction situated in New Delhi, India.
